Shipping advice (裝運(yùn)通知): |
|
一旦裝運(yùn)完畢，賣方應(yīng)即電告買方合同號(hào)、商品號(hào)、已裝載數(shù)量、發(fā)票總金額、毛重、運(yùn)輸工具名稱及啟運(yùn)日期等。
The sellers shall immediately, upon the completion of the loading of the goods, advise the buyers of the Contract No, names of commodity, loaded quantity, invoice values, gross weight, names of vessel and shipment date by TLX/FAX. |

Inspection and Claims (檢驗(yàn)與索賠): |
|
1. 賣方在發(fā)貨前由 ___ 檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書。
The buyers shall have the qualities, specifications, quantities of the goods carefully inspected by the ___ Inspection Authority, which shall issue Inspection Certificate before shipment.
2. 貨物到達(dá)目的口岸后，買方可委托當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的 ___ 天內(nèi)憑 ___ 檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書向賣方索賠。
The buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination if the goods are found damaged/short/their specifications and quantities not in compliance with that specified in the contract, the buyers shall lodge claims against the sellers based on the Inspection Certificate issued by the Commodity Inspection Authority within ___ days after the goods arrival at the destination.
3. 如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之起 __ 天內(nèi)提出；凡屬數(shù)量異議須于貨到目的口岸之日起 ___ 天內(nèi)提出。對(duì)所貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣方不負(fù)任何責(zé)任。
The claims, if any regarding to the quality of the goods, shall be lodged within ___ days after arrival of the goods at the destination, if any regarding to the quantities of the goods, shall be lodged within ___ days after arrival of the goods at the destination. The sellers shall not take any responsibility if any claims concerning the shipping goods is up to the responsibility of Insurance Company/Transportation Company/Post Office. |

Force Majeure (人力不可抗拒): |
|
如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。
The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure.But the sellers advise the buyers on time of such occurrence. |

Disputes settlement (爭(zhēng)議之解決方式): |
|
凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭(zhēng)執(zhí)，雙方應(yīng)協(xié)商解決。如果協(xié)商不能得到解決，應(yīng)提交仲裁。仲裁地點(diǎn)在被告方所在國內(nèi)，或者在雙方同意的第三國。仲裁裁決是終局的，對(duì)雙方都有約束力，仲裁費(fèi)用由敗訴方承擔(dān)。
All disputes in connection with this contract of the execution thereof shall be amicably settled through negotiation. In case no amicable settlement can be reached between the two parties, the case under dispute shall be submitted to arbitration, which shall be held in the country where the defendant resides, or in third country agreed by both parties. The decision of the arbitration shall be accepted as final and binding upon both parties. The Arbitration Fees shall be borne by the losing party. |

Law application (法律適用): |
|
本合同之簽訂地，或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。
It will be governed by the law of the People's Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the People's Republic of China or the defendant is Chinese legal person, otherwise it is governed by Untied Nations Convention on Contract for the International Sale of Goods.
本合同使用的價(jià)格術(shù)語系根據(jù)國際商會(huì)《Incoterms 1990》。

銷售確認(rèn)書(SALES CONFIRMATION)
銷售確認(rèn)書經(jīng)過簽字后，也具有銷售合同同等效力。銷售確認(rèn)書的內(nèi)容一般包括：商品名稱、規(guī)格、包裝、數(shù)量、單價(jià)、交貨期、裝運(yùn)港和目的港、付款方式、 運(yùn)輸標(biāo)志、商品檢驗(yàn)等項(xiàng)條款。這種格式的合同，適用于金額不大，批數(shù)較多的小土特產(chǎn)品和輕工產(chǎn)品，或者已訂有代理、包銷等長期協(xié)議的交易。
一般來說銷售確認(rèn)書的格式都是由我方（出口公司）事先印制好的，因此有時(shí)在SALES CONFIRMATION之前加上出口公司名稱或是公司的標(biāo)志等。
賣方(SELLER)
此欄填寫賣方的全稱、詳細(xì)地址、電話、傳真。注意有時(shí)此欄內(nèi)容已由公司印制好，但如果公司資料已更改，則需要更改為新資料并加蓋校對(duì)章，或重新印制合同。
買方(BUYER)
填寫買方名稱、地址、電傳、傳真資料。

此欄填具銷售確認(rèn)書的編號(hào)。一般來說每個(gè)公司都有自己的系列編號(hào)，以便存儲(chǔ)歸檔管理之用。
DATE
填寫簽約日期。
嘜頭(Marks and Numbers)
如為裸裝貨或中性包裝，則填寫“N/M”。一般用賣方的嘜頭，個(gè)別情況由賣方結(jié)合買方的要求設(shè)計(jì)，或由買方自定。
買方在合同裝運(yùn)期前30日內(nèi)將嘜頭的詳細(xì)說明的明確形式通知買方，否則由賣方自己解決。
名稱及規(guī)格(Name of Commodity and Specification)
此欄應(yīng)詳細(xì)填明各項(xiàng)商品的名稱及規(guī)格。如果是據(jù)來往函電成交后簽訂的SALES CONFIRMATION，可只寫商品名稱，而后加注“SPECIFICATIONS AS PER QOTATIONS”。
數(shù)量(Quantity)
此欄為計(jì)價(jià)的數(shù)量，一般為凈重。也可以將有包裝的毛重、凈重分別填明。
單價(jià)(Unit Price)
單價(jià)一般由四部分構(gòu)成，例如 $500 FOB 大連 PER M/T，缺一不可。注意此欄應(yīng)與“品名及規(guī)格”欄每一項(xiàng)商品相對(duì)應(yīng)。
金額(Amount)
列明幣種及各項(xiàng)商品金額（金額＝單價(jià)×數(shù)量）。
裝運(yùn)期限(TIME OF SHIPMENT)
裝運(yùn)期限可有多種規(guī)定方法，可以規(guī)定具體時(shí)段，例如：4月份或3月底前；另外也可以用L/C或S/C等為參照物規(guī)定相應(yīng)時(shí)間，例如：信用證開出后或到達(dá)賣方后30天。
注意如按后者的規(guī)定方式，則需相應(yīng)規(guī)定信用證開出或到達(dá)的具體日期，而且注意L/C的有效期與裝運(yùn)期的關(guān)系，防止“雙到期”的發(fā)生，不能安全收匯。
保險(xiǎn)(INSURANCE)
如使用FOB價(jià)格術(shù)語成交，則選擇 TO BE EFFECTED BY THE BUYERS.
如為CIF合同，一般規(guī)定：
(1) 如未特殊要求，由賣方按中國人民保險(xiǎn)公司條款按照發(fā)票總值110%投保最低險(xiǎn)別F. P. A. 另外，根據(jù)國際商會(huì)規(guī)定，一般需按行業(yè)慣例替買方把險(xiǎn)保足。
(2) 如買方欲增加其他險(xiǎn)別，須于裝船前征得賣方同意，所增加的保險(xiǎn)費(fèi)由買方負(fù)擔(dān)。
(3) 如為長期客戶，則買賣雙方協(xié)商按行業(yè)慣例加保險(xiǎn)別，并確定保險(xiǎn)費(fèi)由哪一方負(fù)擔(dān)。
例如：To be covered by the Sellers for 100% of Invoice Value against All Risks and War Risks as per the People's Insurance Company of China. If other coverage is required, the Buyers must have the consent of the Sellers before shipment and the additional premium is to be borne by the Buyers.
裝船標(biāo)記(Shipping Mark)
也稱嘜頭。如為裸裝貨或中性包裝，則填寫“N/M”。一般用賣方的嘜頭，個(gè)別情況由賣方結(jié)合買方的要求設(shè)計(jì)，或由買方自定。
買方在合同裝運(yùn)期前30日內(nèi)將嘜頭的詳細(xì)說明的明確形式通知買方，否則由賣方自己解決。
付款條件(TERMS OF PAYMENT)
注明付款條件。
例如：
The Buyers shall open with a bank acceptable an irrevocable, sight Letter of Credit to reach the Seller 30 days before the month of shipment, valid for negotiation in China until 15th days after the month of shipment.
在裝運(yùn)單據(jù)簽發(fā)日21天內(nèi)議付方有效。買方應(yīng)于裝運(yùn)月份前30天，向賣方可接受的銀行申請(qǐng)開具以賣方為受益人的不可撤消的即期信用證。至裝運(yùn)月份后第15天在中國議付有效。
在當(dāng)今的國際貿(mào)易中一般用信用證付款方式，此時(shí)需注意信用證的效期與裝運(yùn)期的關(guān)系，以保證安全收匯。
裝運(yùn)期應(yīng)與信用證到期日（效期）有一段合理時(shí)間。不能太短，甚至“雙到期” ，致使裝運(yùn)單據(jù)取得后沒有足夠時(shí)間進(jìn)行議付。也不能太長，占?jí)嘿I方資金，會(huì)在貨價(jià)上表現(xiàn)出來。
